Terms of Service

1. Acceptance of Terms

Welcome to VeilPrep. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and VeilPrep ("Company," "we," "us," "our") governing your access to and use of the VeilPrep desktop application and any associated services (collectively, the "Service").

By downloading, installing, or using VeilPrep, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

You must be at least 18 years of age to use VeilPrep. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. When you create an account, and again whenever these Terms change, the application asks you to confirm this expressly; the date and version of your confirmation are recorded with your account, and the Service will not transcribe, start a round or sell credits for an account without it. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Where the Service is available. The Service relies on third-party AI providers whose terms restrict where their models may be used, and it is subject to European Union and French export and sanctions law. The Service is therefore not offered in, and refuses requests originating from, the following countries and regions: Afghanistan, Belarus, China (mainland), Cuba, Hong Kong, Iran, Kosovo, Macao, Myanmar, North Korea, Russia, Syria, Venezuela, Yemen, and the regions of Ukraine under occupation (Crimea, Donetsk, Kherson, Luhansk and Zaporizhzhia). You may not use the Service from these places or on behalf of a person or entity located, incorporated or headquartered there, and you may not use any means to disguise your location in order to do so. The list follows our providers' published policies and may change without notice.

2. Recording Consent: Your Responsibility

VeilPrep provides real-time audio transcription capabilities. The software captures audio from your device, including audio from conversations, meetings, and interviews, and converts it to text. This functionality may be subject to laws governing audio recording and interception of communications.

Recording and consent laws vary significantly across jurisdictions. You should be aware of the following:

• United States: Federal law (18 U.S.C. § 2511) permits one-party consent for recording. However, numerous states require the consent of all parties to a conversation, including but not limited to California, Florida, Pennsylvania, Washington, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Connecticut, and Michigan. Violations can result in both criminal penalties and civil liability.
• European Union: The General Data Protection Regulation (GDPR) imposes strict requirements on the processing of personal data, including audio recordings. Recording conversations without a lawful basis and without appropriate notice may violate GDPR and applicable member state laws.
• Canada: The Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial privacy legislation govern the collection and use of personal information, including audio recordings. Canadian Criminal Code Section 184 addresses interception of communications.
• Other jurisdictions: Many other countries and regions have their own recording consent laws. It is your obligation to research and comply with the specific laws of every jurisdiction in which you operate.

The Company makes no representations or warranties regarding the legality of using VeilPrep in any particular jurisdiction or context. You bear all civil and criminal liability for how you choose to use this software. The Company shall not be held responsible for any legal consequences arising from your use of VeilPrep's audio capture and transcription features.

3. Service Description

VeilPrep is an AI-powered interview preparation and assistance tool that provides the following capabilities:

• Real-time transcription: Live speech-to-text conversion of audio captured from your device, with speaker diarization to distinguish between participants.
• AI answer generation: Context-aware answer suggestions generated in real time based on the transcribed conversation, your resume, relevant job descriptions and your saved STAR stories, shaped to the type of round (phone screen, technical, behavioral, system design, hiring manager), with hint and key-points modes and predicted follow-up questions.
• System design companion: An interactive mode that assists with system design interview questions, providing architectural guidance and structured frameworks.
• Coding and on-screen analysis: Screen capture and analysis capabilities for coding interview problems and other on-screen exercises, providing hints, approaches, and solution scaffolding.
• Mock interviews and warm-ups: An AI interviewer that speaks and listens, with selectable personality and difficulty, running in the same private overlay as a live interview (mock), and a short free voice or typed drill (warm-up).
• Preparation tools: A match analysis of your resume against a job description, a question bank with model answers, a STAR story bank (including stories extracted from your resume or transcripts), prep notes, and round scheduling with calendar files and reminders.
• Reports and coaching: After each round, a structured report (scores, per-question assessment, strengths, improvements, action items), delivery metrics computed on your device, and, when enabled, short "coach notes" about how you answer that are used to prepare later sessions (see the Privacy Policy, section 1e).

The Service displays your preparation materials and AI suggestions in a private overlay window that uses operating-system content protection, so your own working materials are not captured when you share or record your screen. You remain responsible for using the Service in accordance with the rules of your interview and with applicable law (see Section 2). Features, functionality, and availability may change at any time without prior notice.

You are interacting with artificial intelligence. Every answer, hint, report, question and coach note the Service produces is generated by an AI model, and the mock interviewer and the warm-up voice are an AI system speaking with a synthetic voice, not a person. The Service tells you so where it matters and never presents AI output as a human's. AI output can be wrong, incomplete or inappropriate for your situation; Section 8 applies. The Service does not and will not analyse your emotions, personality or other personal characteristics: coach notes are limited to how you structure and deliver answers.

4. Credits and Pricing

4.1 Credit-Based Model

VeilPrep uses a credit-based pricing model. Each credit entitles you to one live interview session (up to 60 minutes) or one mock interview (up to 45 minutes) with all features unlocked. Match analysis, the question bank, the story bank and warm-ups do not use credits. New accounts receive one free credit. Credits are available in the following packs:

• Starter Pack: 3 interview credits for $29 (~$9.67 per interview).
• Standard Pack: 10 interview credits for $79 (~$7.90 per interview).
• Pro Pack: 25 interview credits for $149 (~$5.96 per interview).

4.2 Billing

All payments are processed securely through Stripe. Credit purchases are one-time payments, not recurring subscriptions. You authorize us to charge your designated payment method for all applicable fees at the time of purchase.

Prices are shown in the currency indicated at checkout. Applicable value-added tax (VAT/TVA) is determined by your place of residence and shown at checkout; where [À compléter : nom légal / legal name] benefits from the French VAT exemption for small businesses, invoices carry the mention "TVA non applicable, art. 293 B du CGI."

4.3 Refunds

Subject to your statutory withdrawal right in Section 4.4, purchased credits are non-refundable once the transaction is complete. Purchased credits expire twelve (12) months after the date of purchase. If you experience a technical issue that prevents you from using a credit during an interview session, please contact support@veilprep.com and we will review your case.

4.4 Right of Withdrawal (EU/EEA Consumers)

If you are a consumer resident in the European Union or EEA, you normally have a 14-day right of withdrawal for distance purchases of digital content under the applicable consumer code (in France, the Code de la consommation). However, credits are digital content supplied immediately. By purchasing and confirming the acknowledgment at checkout, you expressly request immediate performance and acknowledge that you lose your right of withdrawal for any credit once it has been used. Any unused credits may be refunded on request within the 14-day period; used credits are not refundable.

5. Usage Limits

Each credit provides the following within a single session:

• Live interview: up to 60 minutes of real-time speech-to-text transcription with speaker diarization, unlimited AI answer generation and unlimited screen capture analysis during the session
• Mock interview: up to 45 minutes with the spoken AI interviewer, with the live assistant available alongside, followed by a transcript, a report and delivery metrics

The screen analysis, the stronger reasoning model and the spoken AI interviewer are available only inside a round you have started with a credit. Outside a round, the Service offers the free preparation tools and the warm-up. To protect the Service and its providers from automated abuse, every account, every network address and the Service as a whole are subject to fair-use ceilings on AI requests; a legitimate user will not reach them, and a request refused for this reason can be retried a few minutes later.

One credit is consumed when you start a live round or a mock interview. If a live interview session exceeds 60 minutes and you have additional credits available, an extra credit will be used automatically to extend the session. If no credits are available, the session will end. A mock interview ends at 45 minutes. The Company reserves the right to modify session limits with 30 days' notice.

6. Acceptable Use

You agree to use VeilPrep responsibly and lawfully. The following uses are strictly prohibited:

• Professional licensing exam fraud: Using VeilPrep to gain unauthorized assistance during regulated professional certification or licensing examinations, including but not limited to medical board exams (USMLE, COMLEX), bar examinations, CPA exams, actuarial exams, or any other credentialing process where external assistance is prohibited.
• Impersonation and fraud: Using the Service to impersonate another individual, misrepresent your qualifications, or engage in any form of deception that could cause harm to another party.
• Reverse engineering: Attempting to decompile, disassemble, reverse engineer, or otherwise derive the source code, underlying algorithms, or architecture of VeilPrep.
• Redistribution: Copying, distributing, sublicensing, reselling, or making the Software available to any third party without our express written consent.
• Abuse of infrastructure: Attempting to circumvent usage limits, overload our systems, or exploit the Service in any manner that could degrade performance for other users.
• Recording third parties without consent: Capturing, recording, or transmitting the words or image of any person without the consent required by the recording, wiretapping, and privacy laws of the applicable jurisdiction (in France, notably Article 226-1 of the Code pénal).
• Collecting third-party data without a legal basis: Collecting, storing, or processing the personal data of any third party (including an interviewer) without a lawful basis under applicable data-protection law.
• Illegal activity: Using VeilPrep for any purpose that violates applicable local, state, national, or international law.

We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of your account.

7. Intellectual Property

7.1 Our Intellectual Property

VeilPrep, including its software, design, logos, trademarks, documentation, and all associated intellectual property, is and remains the exclusive property of the Company. Nothing in these Terms transfers any ownership rights to you. Your license to use VeilPrep is limited to the scope expressly granted in these Terms.

7.2 Your Content

You retain all ownership rights to the content you provide to VeilPrep, including resumes, job descriptions, cover letters, and any other personal materials you upload or input into the Service.

7.3 License to Process

By submitting content to VeilPrep, you grant us a limited, non-exclusive, worldwide license to process, analyze, and use your content solely for the purpose of providing and improving the Service's features. We do not sell your content to third parties. This license terminates when you delete your content or close your account.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, the Company does not warrant or guarantee that:

• The Service will meet your specific requirements or expectations;
• Use of VeilPrep will result in successful interview outcomes, job offers, or any particular employment result;
• Transcription output will be accurate, complete, or error-free;
• AI-generated answers or suggestions will be correct, appropriate, or suitable for your specific situation;
• The Service will be uninterrupted, timely, secure, or free of defects;
• Any information obtained through the Service constitutes professional, legal, or career advice.

AI-generated content is produced by machine learning models and should be treated as suggestions, not authoritative answers. You are solely responsible for evaluating and using any content generated by VeilPrep.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities;
• Loss of data or content;
• Loss of employment opportunities or adverse interview outcomes;
• Damages arising from reliance on AI-generated content;
• Damages arising from interruption of service or system failures;
• Any damages arising from the acts or omissions of third-party service providers.

THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The Company is not liable for any actions, failures, or policies of third-party services integrated with VeilPrep, including Deepgram, Anthropic, Supabase, and Stripe. Your use of these services is governed by their respective terms.

10. Account Termination

10.1 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without prior notice, if we reasonably believe that you have violated these Terms or engaged in conduct that is harmful to the Company, other users, or third parties. In the event of termination for cause, you are not entitled to any refund of prepaid fees.

10.2 Termination by You

You may delete your account and terminate these Terms at any time through your account settings. Unused credits are non-refundable upon account deletion.

10.3 Effect of Termination

Upon termination, your license to use VeilPrep is immediately revoked. You must delete all copies of the Software from your devices. Sections of these Terms that by their nature should survive termination will continue in effect, including but not limited to Sections 2, 7, 8, 9, and 12.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice via email to the address associated with your account or through a prominent notice within the application.

Your continued use of VeilPrep after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account before the changes take effect.

We encourage you to review these Terms periodically for any updates. The "Last Updated" date at the top of this page reflects the most recent revision.

12. Governing Law

These Terms are governed by the laws of France. Disputes fall under the jurisdiction of the competent French courts. Nothing in these Terms deprives a consumer of the protection afforded by the mandatory provisions of the law of their country of residence: if you are a consumer in the EU/EEA, you also benefit from the mandatory consumer-protection rules of your home country.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

13. Consumer Mediation

In accordance with the French Code de la consommation, consumers may, after making a prior written complaint to us, refer a dispute free of charge to our designated consumer mediator (médiateur de la consommation):
